Legal Services – Federal Funding

Overview
ROC USA seeks legal counsel to support the implementation and oversight of a $38.1 million federal award under the Preservation and Reinvestment Initiative for Community Enhancement (PRICE), administered by the U.S. Department of Housing and Urban Development (HUD). Such activities to be performed under this award may include, but are not limited to:
- Infrastructure projects (water, road, electric, waste system, etc.);
- Home infill;
- Real estate acquisitions; and
- 2 CFR 200 compliance
Legal services will ensure compliance with federal requirements, protect ROC USA’s interests, and facilitate equitable distribution of funds to subrecipients and resident owned communities through various agreements and documentation. Legal counsel is required to have expertise in federal grant compliance, affordable housing finance, nonprofit governance, and manufactured housing law to assist in structuring subgrantee agreements, reviewing cooperative documents, advising on Davis-Bacon and environmental compliance, and supporting transactional elements related to infrastructure improvements and community acquisitions.
The selected firm or attorney will play a critical role in helping ROC USA and its partners fulfill the objectives of the PRICE initiative by ensuring legal integrity, mitigating risk, and enabling equitable and timely distribution of funds to resident owned communities nationwide. ROC USA reserves the right to engage multiple legal professionals or firms to provide services, ensuring coverage for lender counsel, general counsel, and cooperative representation, based on the information gathered during this process. We anticipate that legal fees will be paid, at least in part, by such an award and will follow any terms of such an award.
